Terms of Service

1. Agreement to Terms

By creating an account on auxcordpassport.com ("the Platform"), operated by Something Dope for the People LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws. If you do not agree, do not create an account or use the Platform. These Terms constitute a legally binding agreement between you and the Company.

2. The Service

Aux Cord Passport ("ACP") operates a membership platform that connects independent artists with partner recording studios in Los Angeles for structured listening sessions ("Aux Cord Sessions"). ACP facilitates booking, scheduling, and credit management. ACP does not own, operate, manage, or control the partner studios. ACP is a platform and booking service only.

3. Membership & Credits

3.1 Subscription plans

ACP offers monthly subscription plans (currently Starter, Plus, and Premium) at prices listed on the Platform. Each plan includes a set number of credits per billing cycle. ACP reserves the right to change plan pricing, credit allotments, or available plans at any time with 30 days notice to existing subscribers.

3.2 Billing and automatic renewal

Subscriptions are billed through Stripe. By subscribing, you expressly authorize ACP to charge your payment method on a recurring monthly basis until you cancel. Your subscription will automatically renew each billing cycle at the then current rate. It is your responsibility to keep your payment method current. Failed payments may result in immediate suspension of access.

3.3 Credits

Credits are used to book sessions at partner studios. Each studio has a credit cost set by ACP. Credits refresh each billing cycle. Unused credits may carry over up to your plan's monthly allotment. Credits have no cash value and cannot be exchanged for money. Credits are non transferable except through the Platform's built in send feature.

3.4 Refunds

  • Session cancellations by artist: If you cancel a booked session more than 24 hours before the session start time, your credits are refunded automatically. Cancellations within 24 hours of the session may not receive a credit refund.
  • Studio cancellations: If a studio cancels a session you have booked, your credits are refunded automatically and you will be notified by email.
  • Subscription cancellations: You may cancel your subscription at any time from your dashboard. Your access continues until the end of your current billing period. No partial month refunds are provided under any circumstances.
  • Promotional credits: Credits granted via promo codes, referrals, or promotions are non refundable and non transferable.
  • Chargebacks: If you initiate a chargeback or payment dispute with your bank or credit card company, ACP reserves the right to immediately suspend your account, revoke all credits, and pursue collection of any outstanding amounts.

3.5 Free trials

If you activate a free trial via a promo code or waitlist invitation, you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged at the full plan rate. Credits are granted when the trial converts to a paid subscription.

4. Accounts

4.1 Eligibility

You must be at least 18 years old to create an account and use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age and that the information you provide is accurate, complete, and current.

4.2 Account security

You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree not to share your password or allow others to access your account. You are responsible for all activity that occurs under your account. ACP is not liable for any loss or damage arising from unauthorized access to your account.

4.3 Account termination

ACP reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, abusive behavior, or conduct that harms the ACP community. Upon termination, all credits are forfeited and no refunds will be issued.

5. Aux Cord Sessions

5.1 Session format

Aux Cord Sessions are structured listening experiences hosted at partner studios. Each attending artist plays one song through the studio's sound system, with the option to take feedback from the room after, before the aux moves to the next artist. Sessions are capped at the studio's listed capacity. ACP does not guarantee any specific number of attendees, session length, equipment availability, or session experience.

5.2 Artist conduct

By attending a session, you agree to:

  • Listen respectfully when other artists play their music.
  • Keep all feedback constructive, supportive, and respectful.
  • Not record, photograph, or livestream other attendees or their music without their explicit consent.
  • Respect the studio space, all equipment, furniture, walls, surfaces, and property therein.
  • Respect studio staff, session hosts, and all other attendees.
  • Follow all session guidelines, house rules, and instructions provided by ACP, the session host, and the studio.
  • Not bring unauthorized guests, weapons, illegal substances, or any prohibited items into the studio.
  • Not engage in any illegal, threatening, harassing, discriminatory, or disruptive behavior.
  • Vacate the studio space promptly when the session concludes.

6. Liability, Damages, and Indemnification

6.1 Artist liability for studio damages

You are personally and financially liable for any and all damage you cause to any partner studio, its equipment, furniture, property, or premises during an Aux Cord Session or while on studio grounds. This includes but is not limited to: damage to recording equipment, speakers, monitors, mixing consoles, microphones, cables, furniture, walls, floors, doors, windows, fixtures, decorations, and any other property belonging to the studio or its owners.

6.2 Damage assessment and payment

If you cause damage to a partner studio or its property, the studio owner and/or ACP will assess the cost of repair or replacement. You agree to pay the full cost of repair or replacement within 14 days of receiving written notice of the damage assessment. If you dispute the assessment, you must provide written notice within 7 days. ACP reserves the right to charge your payment method on file for the cost of damages. Failure to pay may result in account termination, collection proceedings, and reporting to credit agencies.

6.3 Indemnification

You agree to indemnify, defend, and hold harmless Something Dope for the People LLC, Aux Cord Passport, its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform or attendance at any Aux Cord Session.
  • Your violation of these Terms or any applicable law or regulation.
  • Any damage you cause to any studio, its equipment, or property.
  • Any injury, loss, or harm caused by your actions or negligence to any person or property.
  • Any dispute between you and any studio, artist, or third party.
  • Any content you submit, post, or transmit through the Platform.
  • Any claim that your music or content infringes on the intellectual property rights of any third party.

6.4 Assumption of risk

By attending any Aux Cord Session, you voluntarily assume all risks associated with your attendance and participation. You acknowledge that attending sessions at recording studios involves inherent risks including but not limited to: exposure to loud sound levels, risk of hearing damage, risk of personal injury, risk of theft or loss of personal belongings, and risk of property damage. ACP is not responsible for and expressly disclaims any liability for personal injury, hearing damage, theft, loss of personal property, or any other harm that occurs at studio locations. Studios are independently owned and operated, and ACP has no control over the condition, safety, or management of studio premises.

6.5 Waiver of claims

To the fullest extent permitted by law, you waive any and all claims against ACP, Something Dope for the People LLC, and their respective officers, directors, employees, and agents for any injury, damage, loss, or expense arising from your attendance at Aux Cord Sessions or use of partner studio facilities.

7. Studio Partners

Studio partners are independent contractors and not employees, agents, or representatives of ACP. Studio partners agree to the terms outlined in the separate Studio Partner Agreement, which governs the relationship between ACP and partner studios. ACP makes no representations or warranties regarding any studio's condition, equipment, safety, or suitability for any purpose.

8. Intellectual Property and Content

8.1 Your music

You retain full ownership of your music and any content you create. By playing your music at an Aux Cord Session, you do not transfer any rights to ACP, the studio, or other attendees. You represent and warrant that you have all necessary rights and permissions to play any music you share during sessions and that your music does not infringe on the intellectual property rights of any third party.

8.2 Likeness and media consent

By attending a session, you grant ACP and its partners a perpetual, royalty free, worldwide license to use photographs, video, and audio recordings of your likeness, voice, and appearance captured during sessions for marketing, promotional, and commercial purposes across all media, including but not limited to social media, the Platform, advertising, and press materials. If you do not wish to appear in any content, you must notify the session host in writing upon arrival, and the host will make reasonable efforts to accommodate your request.

8.3 Platform content

All content on the Platform, including but not limited to text, graphics, logos, images, software, and design elements, is the property of ACP or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent from ACP.

9. Privacy and Data

ACP collects and stores your name, email address, phone number, Instagram handle, booking history, credit transaction history, and payment information (processed securely through Stripe). We use this data to operate the Platform, process payments, send transactional and promotional emails, and improve our services. We do not sell your personal information to third parties. Studio addresses are only shared with artists who have a confirmed booking. By using the Platform, you consent to the collection, use, and storage of your data as described herein and in our Privacy Policy.

California residents have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to request deletion of personal information, and the right to opt out of the sale of personal information. 10. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ACP expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non infringement. ACP does not warrant that the Platform will be uninterrupted, error free, secure, or free of viruses or other harmful components. ACP does not guarantee the condition, quality, safety, or experience at any partner studio. ACP does not guarantee that any specific studio will be available or that sessions will meet your expectations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ACP, SOMETHING DOPE FOR THE PEOPLE LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ATTENDANCE AT ANY SESSION.

ACP's total aggregate liability to you for any and all claims arising from or related to your use of the Platform or attendance at sessions shall not exceed the total amount you paid to ACP in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Dispute Resolution

12.1 Informal resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute with ACP informally by contacting us at jordan@somethingdopeforthepeople.com. Both parties agree to negotiate in good faith for at least 30 days before pursuing formal proceedings.

12.2 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California, in accordance with its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class action waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class wide arbitration against ACP.

13. Modifications

ACP reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Platform before the changes take effect.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Studio Partner Agreement, constitute the entire agreement between you and ACP regarding your use of the Platform and supersede all prior agreements, representations, and understandings.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California.
